CREW LICENSE AGREEMENT FOR SLEEP POD USE
This License Agreement ("Agreement") is by and between Nap York and Aviation Crew. By booking with us, Licensee acknowledges and agrees to the terms and conditions set forth herein for the use of Nap York facilities provided by Provider.
1. Purpose
Provider grants Licensee a revocable, non-exclusive, non-transferable license to use Nap York facilities solely for temporary accommodation purposes, subject to the terms of this Agreement.
2. License Term
The Licensee shall have the right to use the sleep pod for up to 21 days per calendar month (the “Term”). Usage days must be scheduled in advance as per Section 5.
3. Membership Eligibility
Membership is limited to individuals employed in the airline industry who meet the following criteria:
Must provide proof of employment with an airline (e.g., employee badge, paystub, or other verification).
Must be pre-approved by Provider through a screening process.
Failure to meet these requirements will result in denial or termination of membership.
4. Use of Premises
Temporary Use Only: Licensee may use the Premises exclusively for rest and short-term stays between airline shifts.
Shared Facility: Nap York is a shared space. Licensee agrees to respect the shared environment and other members.
No Residency: This Agreement does not create a landlord-tenant relationship and does not grant Licensee any residency rights.
No Subleasing or Assignment: Licensee must not sublease, assign, or transfer the use of the sleep pod or any other part of the Premises to any third party.
5. Scheduling and Availability
The Licensee must reserve usage dates at least 1 day in advance, subject to availability.
Reservations are confirmed on a first-come, first-served basis.
The Licensor reserves the right to limit consecutive usage to a maximum of 21 days to ensure fair access.
6. Fees and Payment:
Licensee agrees to pay all membership and usage fees as outlined in the membership terms.
Payments are due on or before the first day of the usage period.
Fees are non-refundable except at Provider’s discretion or as provided in Section 8.
Late payments will incur a penalty of $20 per day after a 7-day grace period.
7. Code of Conduct
Licensee agrees to:
Follow All Posted Rules: Including quiet hours, cleanliness expectations, and facility usage guidelines.
Prohibit Unauthorized Access: Guests or non-members are strictly prohibited from entering the Premises.
Refrain from Prohibited Activities: Including smoking, alcohol consumption, illegal drug use, and any form of disruptive behavior.
8. Licensor Obligations
The Licensor agrees to:
Provide Access: Ensure that the Premises, including the sleep pods and shared facilities, are accessible to members during the agreed hours of operation.
Maintain Cleanliness: Regularly clean and maintain the common areas, sleep pods, and other facilities to ensure a safe and hygienic environment.
Provide Security Measures: Implement reasonable security measures, such as controlled access systems and surveillance, to promote the safety of members and their belongings.
Notify of Changes: Provide members with reasonable notice of any changes to the terms of this Agreement, facility operations, or rules, except in cases requiring immediate action.
Perform Repairs and Maintenance: Address maintenance or repair issues affecting the usability of the sleep pods or other essential facilities promptly.
Adhere to Privacy: Respect the privacy of members by limiting access to personal sleeping areas and not interfering with their use of the Premises unless necessary for safety, maintenance, or compliance purposes.
Compliance with Laws: Ensure Nap York and its operations comply with all local, state, and federal laws, including health and safety regulations.
9. Termination and Refunds
This Agreement is effective upon signing and remains valid until terminated by either party.8.1 Provider’s Termination Rights:
Provider reserves the right to terminate this Agreement immediately for any of the following reasons:
Breach of the rules or Code of Conduct.
False information provided during the application process.
Disruptive behavior or any action that negatively affects the shared environment.
Provider may also terminate this Agreement without cause by providing seven (7) days’ written notice to Licensee.
Licensee’s Termination Rights:
Licensee may terminate this Agreement by providing seven (7) days’ written notice to Provider.
If the Licensor terminates the Agreement for reasons other than the Licensee’s breach, the Licensor shall refund the prorated portion of the monthly fee.
10. Liability and Indemnification
Licensee assumes all risks associated with using the Premises and agrees to hold Provider harmless from any claims, damages, or injuries arising from such use. The Licensee agrees to indemnify and hold harmless the Licensor from any claims arising from misuse of the sleep pod.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.
13. Amendment
Provider reserves the right to amend this Agreement or the membership terms with prior notice to Licensee.
14. Signatures
By checking the box and providing all your personal information on our website, both parties agree to the terms and conditions of this Agreement.
